Terms of use.

These Terms of use govern the use of Silon Valley, including the acquisition and use of buildings, streets and other digital items within the service.

By using Silon Valley, you accept these Terms. When you make a purchase, the transaction is also subject to Paddle's applicable terms and to the conditions presented to you during the checkout process.

1. What Silon Valley is

Silon Valley is an online service that presents an explorable 3D virtual city made of buildings, streets and other digital items.

Buildings and streets are digital items inside Silon Valley. They are not land, real estate, physical property, securities, shares, financial instruments, currency, tokens or any other real-world asset.

References to "ownership", "owner", "buy" or "acquire" a building or a street describe only the rights associated with that item inside Silon Valley.

Nothing in these Terms creates or transfers ownership of any real property or physical asset.

2. Purchases and payments

Buildings and streets can be acquired through a one-time payment at the price shown in Silon Valley at the time of purchase.

Payments are processed by Paddle, acting as Merchant of Record and as the seller of record in the transaction. Paddle handles payment processing, applicable taxes, refunds where applicable and customer invoices in accordance with its own terms and policies.

The purchase transaction is subject to Paddle's buyer terms shown during the checkout process.

Prices are displayed in US dollars unless stated otherwise.

Silon Valley does not receive or store your full payment card details.

3. What you get when you acquire an asset

When you successfully acquire a building or a street, you receive a limited licence to use and customise that item inside Silon Valley in accordance with these Terms.

Depending on the type of asset, this includes the ability to:

  • Display your name, company name or another approved name.
  • Display a logo or other approved brand identity.
  • Display a description.
  • Display a link to a website.
  • Have a public page associated with the item.
  • Access the management features available for that item.

The visual appearance, position, dimensions and specific functionality of each item are determined by Silon Valley.

Acquiring an asset grants you no rights over the software, 3D models, artwork, source code, infrastructure, domain names or intellectual property used to operate Silon Valley.

Unless expressly stated otherwise, the rights granted are non-exclusive and non-transferable.

Resale, transfers and any marketplace are not currently available.

4. Duration and nature of ownership

The right to use a building or a street exists only inside Silon Valley and only for as long as the corresponding service remains available.

Silon Valley intends to operate as a long-term service and will make reasonable efforts to maintain the service and the acquired assets.

However, we do not guarantee a minimum duration of the service or that Silon Valley will remain available indefinitely.

Acquiring an asset is not a promise that Silon Valley will operate for any particular period of time.

5. Your building or street

Each item has a given location and given characteristics within the city.

We may make reasonable changes to the appearance, dimensions, surroundings, rendering, infrastructure or layout of Silon Valley as the service evolves.

We may also need to move, resize, redesign or replace an item where reasonably necessary for technical, operational, security, legal or design reasons.

We will make reasonable efforts to preserve the identity and essential characteristics of acquired items when making such changes.

Acquiring an item does not guarantee that its exact visual representation, the buildings around it, the layout of the city or its technical implementation will remain unchanged indefinitely.

6. Logos, names and content you provide

You are responsible for any name, logo, description, URL or other content you provide.

By providing content to Silon Valley, you confirm that:

  • You own it or hold the rights and permissions needed to use it.
  • Its use inside Silon Valley does not infringe the rights of third parties.
  • It is not unlawful, misleading, defamatory, fraudulent or otherwise prohibited.
  • It contains no malicious code and does not attempt to compromise the service.

You grant Silon Valley a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, resize, adapt and otherwise use the content you provide, solely to the extent necessary to operate, display, promote and deliver the Silon Valley service.

This licence continues for as long as the content is displayed or used within the service, and for a reasonable period afterwards where necessary for backups, legal compliance or record keeping.

You retain ownership of your own trade marks, logos and other content.

7. Prohibited content and activities

You may not use Silon Valley to display, publish, link to or promote content or activities that:

  • Contain pornography or sexually explicit content.
  • Sexualise or exploit minors.
  • Promote or facilitate sexual exploitation, human trafficking or abuse.
  • Promote terrorism, violent extremism or violence against people or groups.
  • Incite hatred or violence against people or groups on the basis of race, origin, nationality, religion, sex, sexual orientation, disability or other characteristics protected by applicable law.
  • Are fraudulent, misleading, defamatory or constitute impersonation.
  • Infringe copyright, trade marks, privacy, image, publicity or other third-party rights.
  • Promote or facilitate illegal activities.
  • Contain malware, phishing, spyware or other malicious code or content.
  • Attempt to obtain credentials, financial information or other data by deception.
  • Promote illegal or restricted products or services that cannot legitimately be offered through the service.
  • Misleadingly suggest a relationship, association, sponsorship or endorsement by Silon Valley that does not exist.
  • Are excessively offensive, abusive or harmful to the community or to the operation of the service.

We may also refuse or remove content that, while not expressly listed above, we reasonably consider incompatible with the nature, safety or operation of Silon Valley.

8. Content moderation

We may refuse, remove, modify, hide or disable content that we reasonably consider:

  • Breaches these Terms.
  • Breaches applicable law.
  • Infringes intellectual property, privacy, image or other rights.
  • Is misleading, fraudulent, abusive or offensive.
  • May harm Silon Valley, its users or third parties.
  • Creates a security or technical risk.
  • Breaches the applicable policies of our service providers.

Where reasonably possible, we may contact you before taking action.

We are not required to continuously monitor all content submitted to the service.

9. Inactive or abandoned assets

You are responsible for keeping the information associated with your building or street reasonably up to date.

We may consider an asset inactive or abandoned when we reasonably determine that it is no longer associated with an active person, company, project or organisation.

This may include situations where:

  • The associated website or domain has permanently stopped working.
  • The associated company or organisation has ceased to exist.
  • The owner can no longer be reasonably contacted.
  • The information displayed on the asset is materially out of date.
  • The asset has remained inactive for a prolonged period.

Where reasonably possible, we will try to contact the owner using the information associated with the asset and give them a reasonable opportunity to update or confirm that information.

If an asset is considered abandoned and no response is received after a reasonable period, we may deactivate it, remove its content and terminate the rights associated with it.

The asset may subsequently become available for acquisition again.

Deactivating an asset for inactivity or abandonment does not entitle you to a refund of the original purchase.

10. Public pages and links

Acquired buildings and streets may have public pages accessible to anyone on the Internet.

These pages may include the name, logo, description and URL provided by the owner.

Links to third-party websites are provided for convenience. We do not control those sites and are not responsible for their content, availability, security, privacy practices or terms of use.

11. No user accounts

Silon Valley does not currently require user accounts.

An acquired item can be managed through a private link sent to the email address associated with the purchase.

You are responsible for keeping that link secret.

Anyone with access to a valid management link could modify the associated item.

If you believe your management link has been compromised, you should contact us as soon as possible.

We may revoke and reissue management access where reasonably necessary.

12. Reservations and simultaneous purchases

An item may be temporarily held while a checkout is being processed.

If several users attempt to buy the same item at effectively the same time, we will use our transaction and payment records to determine which purchase completed successfully first.

If we cannot complete a transaction because the item was no longer available, or because of a technical or transaction conflict, the affected purchase will be refunded through Paddle.

13. Refunds and cancellations

Purchases are generally final, and Silon Valley does not offer discretionary refunds once an item has been acquired and activated, without prejudice to any mandatory consumer rights that may apply.

Where applicable law permits, the checkout process may require you to expressly request immediate performance of the digital service and to acknowledge the consequences this may have for any applicable right of withdrawal.

Nothing in these Terms removes or limits any consumer right that cannot legally be waived.

Paddle's refund policy and buyer terms also apply to transactions processed by Paddle.

If we cannot deliver an item you have successfully acquired, including where the item was unavailable due to a technical or transaction error, the affected purchase will be refunded.

If you are charged more than once for the same purchase, the duplicate charge will be refunded.

14. Acceptable use

You may not:

  • Attempt to disrupt, damage or gain unauthorised access to Silon Valley.
  • Extract, collect or misuse personal information belonging to other users.
  • Use automated systems to abuse the service or its infrastructure.
  • Attempt to manipulate purchases, availability or ownership records within the platform.
  • Impersonate another person or company.
  • Use Silon Valley to distribute malware, spam or unlawful content.
  • Attempt to reverse engineer, copy or reproduce the service or its underlying systems, except where applicable law expressly permits it.
  • Use the service in any way that breaches applicable law or the rights of third parties.

15. Intellectual property

Silon Valley and its original content, including its software, code, 3D city, building models, graphics, interfaces, visual designs, text, trade marks and identity elements, belong to Silon Valley or are used under licence, and are protected by applicable intellectual property laws.

Acquiring a building or a street grants you no ownership rights over Silon Valley's intellectual property.

You may not copy, reproduce, redistribute, sell, sublicense or commercially exploit Silon Valley or its underlying assets without our authorisation.

16. Service availability and changes

We may modify, update, suspend or discontinue parts of Silon Valley from time to time.

This may include:

  • Changing the visual design of the city.
  • Adding or removing districts.
  • Adding, removing or modifying features.
  • Changing how buildings or streets are represented.
  • Updating the technical infrastructure.
  • Changing how the management tools work.

We will make reasonable efforts to avoid unnecessary disruption to acquired items.

We intend to operate Silon Valley as a long-term service, but we do not guarantee that the service or any particular feature will remain available indefinitely.

If we permanently stop offering Silon Valley, we may terminate the rights associated with acquired buildings and streets and remove those items from the service.

In that case, "ownership" of the asset inside Silon Valley ends when the service ends.

Unless applicable law requires otherwise, permanently discontinuing the service does not by itself create a guaranteed right to a refund of past purchases.

17. Suspension or termination of assets

We may suspend or terminate the rights associated with a building or a street where reasonably necessary because of:

  • A breach of these Terms.
  • Unlawful or prohibited content.
  • Infringement of third-party rights.
  • Fraud or abusive activity.
  • Legal requirements or requests from competent authorities.
  • Security risks.
  • Serious technical or operational problems.
  • Inactivity or abandonment as described in the corresponding section.
  • Structural changes necessary to operate the service.

Where reasonably possible, and where there is no urgent reason to act immediately, we will try to notify the owner and give them a reasonable opportunity to resolve the issue.

Suspension or termination resulting from a breach of these Terms does not entitle you to a refund.

18. Third-party services

Silon Valley may rely on third-party services to operate certain parts of the platform, including payment processing, hosting, analytics, email delivery, storage and other infrastructure.

Third-party services may be subject to their own terms, policies and availability requirements.

We are not responsible for failures of third-party services that are outside our reasonable control.

19. Disclaimer of warranties

Silon Valley is provided "as is" and as available.

We do not warrant that the service will always be available, error free, secure or accessible from any location or device.

We do not guarantee any particular number of visitors, clicks, impressions, search engine rankings, commercial value or financial return from acquiring an item.

Acquiring a building or a street is not an investment and should not be treated as one.

There is no expectation of profit, appreciation in value, traffic, advertising exposure or financial return associated with acquiring an asset.

20. Liability

To the maximum extent permitted by applicable law, Silon Valley will not be liable for indirect, incidental, special, consequential or punitive losses arising from the use of the service, including loss of profits, revenue, business opportunities, data or reputation.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited, including liability for fraud, wilful misconduct or any mandatory consumer rights.

If you are a consumer, nothing in these Terms affects rights or remedies that cannot legally be excluded under applicable law.

21. Suspension and termination of the service

We may temporarily suspend or terminate Silon Valley where reasonably necessary.

We may do so for technical, operational, legal, security, economic or commercial reasons, among others.

We will make reasonable efforts to maintain the service as a long-term platform, but we do not guarantee a minimum duration.

If we permanently terminate the service, all rights associated with buildings and streets end with the service.

22. Changes to these Terms

We may update these Terms from time to time.

When we make material changes, we will update the date shown at the top and may provide additional information where appropriate.

Continued use of Silon Valley after the new Terms take effect means you accept them, except where applicable law requires another form of consent.

Changes to the rights associated with items already acquired will not be made retroactively with the aim of substantially depriving you of those rights without a valid reason and, where necessary, without the corresponding notice or consent.

23. Privacy

Our collection and use of personal information is described in our Privacy Policy.

By using Silon Valley, you acknowledge that you have read the Privacy Policy.

24. Governing law and jurisdiction

These Terms are governed by Spanish law, except where mandatory consumer protection rules of the consumer's country of residence grant rights that cannot be excluded.

If you are a consumer, nothing in this section prevents you from bringing a claim before a court that has jurisdiction under the applicable mandatory consumer protection rules.

For disputes that do not involve consumers, the courts of the place of our registered office will have jurisdiction, unless applicable law provides otherwise.
